Terms of Service
These Terms of Service (the “Terms”) govern your access to and use of DialoChat (the “Service”), a business messaging automation platform operated by BLOOM RISE MEDIA LLC (“Bloom Rise Media,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and have the authority to bind the business you represent. The Service is intended for businesses, not for personal or consumer use.
2. The Service
DialoChat lets businesses connect their own WhatsApp Business and Meta (Facebook Messenger, Instagram) accounts to manage conversations, send and receive messages, use approved message templates, and automate messaging workflows. Features may change over time.
3. Accounts
- You are responsible for keeping your credentials confidential and for all activity under your account.
- Notify us promptly at contact@bloomrisemedia.com if you suspect unauthorized access.
- We may suspend or terminate accounts that violate these Terms, applicable law, or partner platform policies.
4. Acceptable use and platform compliance
When using the Service, you agree to comply with all applicable laws and the policies of the platforms you connect, and you agree not to:
- Send unsolicited or unlawful messages, spam, or messages to recipients who have not opted in as required by the WhatsApp Business Messaging Policy and applicable law.
- Send content that is illegal, deceptive, infringing, harassing, or otherwise prohibited by Meta’s policies.
- Violate the WhatsApp Business Terms, Meta Platform Terms, Developer Policies, or Commerce Policies.
- Reverse engineer, scrape, overload, or interfere with the Service or the networks it relies on.
- Use the Service to collect or process data without a lawful basis or required consent.
5. Your responsibilities for end-user data
When you process the personal data of your own customers through DialoChat, you are the controller of that data. You are responsible for obtaining any required consent or opt-in, providing your own privacy notice to your customers, and responding to their data-subject requests. We process that data only as your processor, on your instructions, and as described in our Privacy Policy.
6. Third-party platforms
The Service depends on third-party platforms, including the WhatsApp Business Platform and Meta Platforms. Your use of those platforms is governed by their own terms. We are not responsible for outages, policy changes, message-delivery decisions, account restrictions, or data losses caused by those platforms.
7. Fees
Fees, if any, will be described at sign-up or in a separate order. Messaging charges set by Meta or WhatsApp are governed by those platforms and billed according to their terms.
8. Intellectual property
- You retain ownership of your content and your customers’ data. You grant us a limited license to process it solely to provide the Service.
- The Service, including its software, design, and documentation, is owned by Bloom Rise Media and protected by law.
9. Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied. We do not guarantee message delivery, platform availability, or any specific outcome, as these depend on third-party platforms and factors outside our control.
10. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data. Our aggregate liability for any claim relating to the Service will not exceed the greater of the fees you paid us in the twelve months before the event or one thousand U.S. dollars ($1,000).
11. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or partner platform policies. On termination, you may request export or deletion of your data as described in our Data Deletion Instructions.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted on this page, and continued use after the effective date constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws rules. The exclusive venue for disputes is the state or federal courts located in Fairfax County, Virginia.
